Our Asset Management team’s activities include:

Advising on the incorporation and registration process of asset managers, fiduciary administrators, investment advisors, securities distributors, and independent investment agents before the relevant authorities, as well as on all applicable regulatory and compliance aspects related to such activities;
Assisting in the drafting and review of manuals, policies, internal rules, and procedures required under applicable regulations;
Advising on the structuring and implementation of compensation plans for asset management professionals based on investment fund performance;
Providing advice on laws and regulations applicable to investments made by investors in general, including institutional investors such as open and closed pension entities and insurance companies;
Representing clients in administrative proceedings before regulatory and self-regulatory bodies, including the Brazilian Securities and Exchange Commission (CVM) and the Brazilian Financial and Capital Markets Association (ANBIMA); and
Representing clients in regulatory discussions, including public consultations on draft rules issued by competent authorities.

Our team’s activities in Investment Funds matters include:

Advising on the structuring, registration, and ongoing maintenance of a wide range of investment funds, including private equity funds (FIPs), receivables investment funds (FIDCs), real estate investment funds (FIIs), agribusiness investment funds (FIAGROs), and financial investment funds (FIFs), such as equity, currency, multi-strategy, and fixed income funds;
Advising on the structuring and distribution of investment fund shares in the securities market;
Advising on the structuring of offshore investment vehicles, including for fundraising purposes by onshore investment funds;
Advising on transactions involving the reorganization of investment funds, as well as the sale of assets within fund portfolios;
Advising on administrative proceedings, litigation, and dispute resolution involving investment funds;
Assisting and advising on investment fund shareholders’ meetings; and
Advising on legal due diligence processes to assess compliance with regulatory and contractual obligations.

In addition, given our firm’s ability to provide legal advice across multiple areas of law, our Asset Management & Investment Funds team is supported by a highly specialized multidisciplinary group, capable of assisting with all aspects related to asset management activities and investment fund structuring, as well as the assets within fund portfolios, including corporate, tax, M&A, antitrust, insolvency, and credit recovery matters.
